Please read these Terms of Service (“Terms”) carefully before using HeyVision. By accessing or using HeyVision, you agree to be bound by these Terms. If you do not agree, do not use the platform.

These Terms constitute a legally binding agreement between you and HeyVision, LLC (“HeyVision,” “we,” “our,” or “us”), a limited liability company organized under the laws of the State of Florida.

1. Description of Service

HeyVision is an AI-powered business operating system designed for coaches and solo professionals. The platform provides tools for marketing content creation, client relationship management, meeting intelligence, task management, and business workflow automation.

HeyVision integrates with third-party services including Google Gmail, Google Calendar, Fathom, Slack, and WhatsApp to deliver its core functionality. Use of these integrations is subject to the terms and policies of each respective provider.

2. Eligibility

To use HeyVision you must:

•        Be at least 18 years of age

•        Have the legal capacity to enter into a binding agreement

•        Not be prohibited from using the service under applicable law

•        Use the platform for lawful business purposes only

By creating an account, you represent and warrant that you meet all eligibility requirements. HeyVision reserves the right to terminate accounts that do not meet these requirements.

3. Account Registration and Responsibility

When you create a HeyVision account, you agree to:

•        Provide accurate, current, and complete account information

•        Maintain the security and confidentiality of your login credentials

•        Notify HeyVision immediately of any unauthorized access to your account

•        Accept responsibility for all activity that occurs under your account

HeyVision is not liable for any loss or damage arising from your failure to maintain account security. You may not share your account credentials with third parties or allow others to access the platform using your account.

4. Acceptable Use

You agree to use HeyVision only for lawful purposes and in accordance with these Terms. You agree not to:

•        Use the platform for any unlawful, harmful, or fraudulent purpose

•        Upload, transmit, or store content that is illegal, abusive, defamatory, or infringes third-party rights

•        Attempt to gain unauthorized access to any part of the platform or its infrastructure

•        Reverse engineer, decompile, or attempt to extract the source code of the platform

•        Interfere with or disrupt the platform, servers, or networks connected to HeyVision

•        Use automated tools, bots, or scrapers to access the platform without authorization

•        Resell, sublicense, or commercially exploit the platform without written permission

•        Use the platform to send unsolicited commercial communications

•        Impersonate any person or entity or misrepresent your affiliation

HeyVision reserves the right to investigate and take appropriate action against violations, including suspending or terminating access without notice.

5. AI-Generated Content

HeyVision uses artificial intelligence to generate content including email drafts, social media posts, blog content, meeting summaries, task lists, and pipeline recommendations. You acknowledge and agree that:

•        AI-generated outputs are provided for informational and productivity purposes only

•        AI responses may not always be accurate, complete, or appropriate for your specific situation

•        You are solely responsible for reviewing, editing, and approving all AI-generated content before use

•        HeyVision is not liable for any decisions made or actions taken based on AI-generated outputs

•        AI-generated content does not constitute legal, financial, medical, or professional advice

Google API Data Use — AI Processing Disclosure

Data accessed via Google Gmail and Google Calendar integrations is used solely to provide HeyVision features requested by the user.

Google user data is not used to train AI models, is not sold to third parties, and is not used for advertising.

AI processing of Google data is limited to generating outputs directly requested within the HeyVision platform.

This use complies with the Google API Services User Data Policy, including the Limited Use requirements.

6. Third-Party Integrations

HeyVision integrates with third-party services to provide platform functionality. By connecting a third-party integration, you authorize HeyVision to access and use your data from that service to the extent necessary to deliver the features you have enabled.

Third-party services integrated with HeyVision include but are not limited to:

•        Google (Gmail, Google Calendar) — email management, calendar access, and scheduling features

•        Fathom — meeting recording, transcription, and session intelligence

•        Slack — notifications and task management via slash commands

•        WhatsApp (via Twilio) — messaging, reminders, and notifications

•        Anthropic (Claude API) — AI content generation and workflow automation

HeyVision is not responsible for the availability, accuracy, security, or policies of third-party services. Changes to third-party services, APIs, or policies may affect HeyVision functionality without notice. Your use of third-party integrations is also subject to each provider’s own terms of service and privacy policy.

You may disconnect any integration at any time from HeyVision Settings. Disconnecting an integration may limit platform functionality.

7. Subscription, Payment, and Billing

HeyVision is offered on a subscription basis following a 7-day free trial. By subscribing to a paid plan, you agree to the following:

Trial Period

New accounts receive a 7-day free trial. No payment is required during the trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires.

Billing

•        Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)

•        All fees are stated in US dollars unless otherwise specified

•        You authorize HeyVision to charge your payment method on file for all applicable fees

•        HeyVision may change subscription pricing with at least 30 days’ written notice

Refunds

All subscription fees are non-refundable except where required by applicable law. HeyVision may offer refunds at its sole discretion in exceptional circumstances. If you cancel your subscription, you will retain access to the platform until the end of your current billing period.

Failed Payments

If a payment fails, HeyVision may suspend access to the platform until payment is resolved. HeyVision reserves the right to terminate accounts with outstanding balances after reasonable notice.

8. Data, Privacy, and Google User Data

Your use of HeyVision is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using HeyVision, you consent to the collection and use of your data as described in the Privacy Policy.

Google API Limited Use Compliance

HeyVision’s access to and use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.

Google user data accessed through Gmail or Google Calendar integrations is used only to provide HeyVision features explicitly requested by the user.

Google user data is not sold, used for advertising, or used to train AI models.

Access to Google user data is limited to the OAuth scopes authorized by the user during setup.

Users may revoke Google access at any time via myaccount.google.com/permissions.

When you connect third-party integrations, you represent that you have the right to authorize HeyVision to access the relevant data and that doing so does not violate any third-party agreement or applicable law.

9. Intellectual Property

HeyVision Intellectual Property

All content, branding, software, technology, and platform features comprising HeyVision are owned by HeyVision, LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any HeyVision intellectual property without prior written permission.

Your Content

You retain ownership of all content you upload, create, or input into HeyVision, including business documents, writing samples, contact records, and chat inputs (“User Content”). By using HeyVision, you grant HeyVision a limited, non-exclusive license to access, store, and process your User Content solely to provide the platform services.

HeyVision does not claim ownership of your User Content and will not use it for any purpose beyond operating and improving the platform as described in the Privacy Policy.

AI-Generated Outputs

Content generated by HeyVision’s AI features using your inputs may be used freely by you for your business purposes. HeyVision does not claim intellectual property rights in AI-generated outputs produced specifically from your User Content.

10. Confidentiality

HeyVision treats your business information, client data, and content as confidential and will not disclose it to third parties except as described in the Privacy Policy or as required by law.

You agree not to disclose any non-public information about HeyVision’s platform, technology, or business operations that you access through your use of the service.

11. Termination and Suspension

Termination by You

You may cancel your HeyVision account at any time from account Settings. Upon cancellation, your access will continue until the end of your current billing period. After 30 days from cancellation, your data will be permanently deleted in accordance with our Privacy Policy.

Termination by HeyVision

HeyVision may suspend or terminate your access immediately if:

•        You violate these Terms or the Acceptable Use policy

•        Your use poses a security risk or legal liability to HeyVision or other users

•        You fail to pay applicable subscription fees after notice

•        We are required to do so by law or a regulatory authority

•        We discontinue the platform with reasonable notice to users

Upon termination by HeyVision for cause, no refund will be issued for any prepaid fees. HeyVision will provide reasonable notice of termination except where immediate action is required to protect platform security or other users.

12. Disclaimers

Important — Please Read

HeyVision is provided “as is” and “as available” without warranties of any kind, express or implied.

HeyVision does not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

HeyVision does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content.

HeyVision does not warrant that integrations with third-party services will remain available or function without interruption.

To the maximum extent permitted by applicable law, HeyVision disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by applicable law, HeyVision, LLC, its officers, directors, employees, and agents shall not be liable for:

•        Any indirect, incidental, special, consequential, or punitive damages

•        Loss of profits, revenue, data, business opportunities, or goodwill

•        Errors, inaccuracies, or omissions in AI-generated content

•        Unauthorized access to or alteration of your data

•        Interruption or unavailability of the platform or any integration

•        Actions or omissions of third-party service providers

In no event shall HeyVision’s total cumulative liability to you for any claims arising under or related to these Terms exceed the greater of (a) the total fees paid by you to HeyVision in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, HeyVision’s liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless HeyVision, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

•        Your use of the platform in violation of these Terms

•        Your User Content or data you provide to HeyVision

•        Your violation of any third-party rights including privacy or intellectual property rights

•        Your violation of any applicable law or regulation

15. Dispute Resolution

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact HeyVision at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

Class Action Waiver

To the extent permitted by applicable law, you agree to resolve disputes with HeyVision on an individual basis only and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

HeyVision may update these Terms from time to time. When material changes are made, we will notify you by email or in-app notification at least 14 days before the changes take effect. The updated Terms will be posted on this page with a new effective date.

Your continued use of HeyVision after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the platform and cancel your account before the changes take effect.

17. General Provisions

•        Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and HeyVision regarding the platform and supersede all prior agreements.

•        Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

•        Waiver: HeyVision’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.

•        Assignment: You may not assign or transfer your rights under these Terms without HeyVision’s prior written consent. HeyVision may assign these Terms in connection with a merger, acquisition, or sale of assets.

•        Force Majeure: HeyVision is not liable for delays or failures in performance resulting from circumstances beyond its reasonable control.

•        No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and HeyVision.
